1. Who you are contracting with
Seated ("Seated", "we", "us") is operated by Paulina Westermann, a sole proprietor based in the United States. These Terms & Conditions form an agreement between you and Paulina Westermann. You can reach us any time at paulinalwestermann@gmail.com.
2. Acceptance
By creating an account, purchasing a plan, or continuing to use Seated, you agree to these terms. If you are using Seated on behalf of a company or organisation, you confirm that you have the authority to bind that organisation. If you are using Seated as an individual, you confirm that you are of legal age to enter into a contract in your country.
3. What Seated provides
Seated is a web application for planning seating charts. You describe your event and your guests, import or dictate a guest list, and Seated arranges people across tables using rules you define. Paid plans add unlimited seated guests, AI-assisted reshuffling, and (on the Business plan) AI attendee preparation. Suggestions produced by Seated are aids, not decisions — you remain responsible for the final seating plan and for anything you do with it.
4. Your account
You must provide accurate information and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity that happens under your account. Tell us promptly if you believe your account has been accessed without your permission.
5. Acceptable use
You must not misuse Seated. In particular, you must not:
- use the service for anything unlawful, fraudulent, or deceptive, or to send spam;
- upload content that infringes anyone's intellectual property or privacy rights;
- upload malware, probe or scan our systems, scrape the service, or otherwise interfere with its security or availability;
- reverse engineer, resell, redistribute, or circumvent technical or plan limits of the service;
- upload personal data about your guests that you have no lawful basis to share with a service provider.
6. Your content
Guest lists, notes, voice briefs, and seating plans remain yours. You grant us a limited licence to host, process, and display that content solely so we can provide the service to you — including sending prompts you create to our AI provider when you use an AI feature. We do not sell your content and we do not use it to train third-party models.
7. Licence and intellectual property
We grant you a limited, non-exclusive, non-transferable right to use Seated within the plan you have selected. We retain all rights in the service itself, including its software, design, documentation, and branding.
8. Plans, payment and billing
Seated offers a free plan and paid subscriptions (Seated Pro and Seated Business), billed monthly in advance. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms, together with our Refund Policy.
Subscriptions renew automatically until cancelled. Upgrades take effect immediately. Downgrades and cancellations take effect at the end of the period you have already paid for; after that your account returns to the Free plan and its limits apply. Your guest data is not deleted when this happens, but guests seated above the Free limit are returned to the unseated list.
9. Service level
We work hard to keep Seated available, but we do not guarantee that it will be uninterrupted, error-free, or that AI-generated suggestions will be accurate or suitable for your event. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
10. Suspension and termination
We may suspend or terminate your access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using Seated and cancel your subscription at any time. On termination you can export your data for 30 days, after which we may delete it.
11. Liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to Seated is limited to the fees you paid in the twelve months before the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these terms excludes liability for fraud, death, or personal injury where such exclusion is prohibited by law.
12. Indemnity
You agree to indemnify us against claims arising from content you upload, your unlawful use of the service, or your breach of these terms.
13. General
You may not assign this agreement without our consent; we may assign it in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond its reasonable control. These terms are governed by the laws of the United States and the State in which the operator is resident, and the courts there have jurisdiction over any dispute. If we change these terms materially, we will notify you before the change takes effect.
